Welcome to www.Askversed.com ("Askversed.com" or "Site"), the website that is a platform for online advice and experience sharing. Askversed.com is owned and operated by Versed Inc. ("Versed"). The specific features and functionality of the Site are to be determined solely by Versed and are subject to change or termination at any time, for any reason, and without notice.

YOU AGREE THAT BY USING THIS SERVICE YOU ARE AT LEAST 18 YEARS OF AGE AND YOU ARE LEGALLY ABLE TO ENTER INTO A CONTRACT.

This Agreement contains all the terms and conditions between a user of askversed.com services ("you" or "Customer") and Versed. By using the site, you are executing a binding agreement between Versed and you as the customer. You should therefore read this Agreement carefully. If you do not agree to be bound by this Agreement, do not sign up for a consultation session, send an email question, propose a project request or engage in any other interaction facilitated by Versed.

As a Customer, you also are agreeing to the terms of the Versed Privacy Policy, which is incorporated into this Agreement.

Definition of Service

Askversed.com provides a platform where Customers can locate an Advisor and ask for advice or services. Versed will enable a Customer to communicate with Advisors. This communication may or may not require the Customer to pay for services provided by Advisors. Versed makes no representation or warranty whatsoever as to (a) the willingness or ability of any Advisor to give advice, (b) whether the Customer will find the advice given by an Advisor satisfactory, (c) whether the advice of the Advisor will provide an adequate solution to the Customer's question(s) or (d) whether the Advisor's advice will otherwise be suitable to the Customer's needs.

Versed does not refer, endorse, recommend, verify, evaluate or guarantee any advice, information or other services provided by Advisors. Customers should not consider anything to be a referral, endorsement, recommendation or guarantee by Versed of an Advisor's advice, information or other services. Versed does not guarantee the validity, accuracy, completeness, safety, legality, quality or applicability of the content on the Site and anything spoken or written by its Advisors, including any information contained in an Advisor listing. Versed will not be liable for any damages sustained due to reliance by Customer on information or advice provided by any Advisor. The advice or information provided by our advisors is for informational purposes only and cannot be considered a substitute for professional advice.

Customer hereby releases and agrees to hold harmless Versed, its directors, shareholders, officers, members, managers, employees, agents, successors, advisors, consultants and assigns from any and all causes of action, claims of any nature and damages resulting from the advice of Advisors accessed through the Site or from the content of the Site.

Disclaimer of Warranty and Limitation of Liability

THE CUSTOMER ACKNOWLEDGES AND AGREES THAT THE ASKVERSED.COM SERVICE IS PROVIDED "AS IS", AND THEREFORE THE CUSTOMER WILL NOT HAVE ANY CLAIM OR DEMAND VIS-A-VIS VERSED IN RESPECT TO VERSED'S EXPERTS, PROPERTIES, LIMITATIONS OR COMPATIBILITY WITH THE CUSTOMER'S NEEDS. THE USE OF ASKVERSED.COM IS AT THE CUSTOMER'S SOLE RISK. TO THE FULLEST EXTENT OF THE LAW, VERSED EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SECURITY OR ACCURACY.

VERSED EXPRESSLY DISCLAIMS ALL WARRANTIES FOR INFORMATION POSTED OR TRANSMITTED BY ADVISORS. IF A CUSTOMER DECIDES TO RELY ON INFORMATION PROVIDED BY AN ADVISOR FOLLOWING THE USE OF ASKVERSED.COM, THE CUSTOMER MUST EXERCISE A HIGH STANDARD OF CARE. THE CUSTOMER SHALL NOT HAVE ANY CLAIM OR DEMAND VIS-A-VIS VERSED, ITS AFFILIATES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, MEMBERS, MANAGERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS IN RESPECT TO ANY SERVICE OR ADVICE THE CUSTOMER DECIDES TO RECEIVE AND/OR RELY ON. VERSED WILL NOT BE DEEMED THE PROVIDER OR RECIPIENT OF ANY SERVICES OR INFORMATION ACQUIRED THROUGH VERSED.COM. THE PURCHASE OF SERVICES IS EFFECTED AT THE CUSTOMER'S SOLE RISK.

UNDER NO CIRCUMSTANCES WILL VERSED, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, MEMBERS, MANAGERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS BE LIABLE TO ANY CUSTOMER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS, REVENUE, PROFITS, USE, DATA OR OTHER ECONOMIC ADVANTAGE), HOWEVER IT ARISES, WHETHER IN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION OR ARISING FROM THE SERVICES OR ANY PROVISION OF THIS AGREEMENT. VERSED, ITS AFFILIATES, THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, MEMBERS, MANAGERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS' AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING WITH RESPECT TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL AMOUNT OF MONEY PAID BY A CUSTOMER TO EXPERTS THROUGH ASKVERSED.COM IN THE SIX MONTH PERIOD PRIOR TO THE DATE THE CLAIM AROSE. THE CUSTOMER ACKNOWLEDGES AND AGREES THAT VERSED DISCLAIMS ANY LIABILITY WITH RESPECT TO ANY CLAIM, SUIT OR ACTION BROUGHT BY AN EXPERT IN CONNECTION WITH PAYMENT FOR SERVICES BY THE CUSTOMER AND CUSTOMER AGREES TO INDEMNIFY AND HOLD VERSED HARMLESS IN CONNECTION WITH ANY SUCH CLAIM.

IN THE EVENT OF A DISPUTE REGARDING ANY TRANSACTION CONDUCTED THROUGH ASKVERSED.COM, THE CUSTOMER HEREBY RELIEVES VERSED, ITS AFFILIATES, THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, MEMBERS, MANAGERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS FROM ALL MANNER OF ACTIONS, CLAIMS OR DEMANDS AND FROM ANY AND ALL LOSSES (DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL), DAMAGES, COSTS OR EXPENSES, INCLUDING, WITHOUT LIMITATION, COURT COSTS AND ATTORNEYS' FEES, WHICH THE CUSTOMER MAY HAVE AGAINST ONE OR MORE OF THE ABOVE.

Customer's Conduct

You warrant and declare that while you are using Askversed.com you will agree to and act according to the following rules:

Versed is not involved in any transactions between Customer and Advisor. Versed does not control or verify the quality, relevance or accuracy of the advice, whether the Advisor is qualified to provide the specific advice, whether the Advisor is categorized correctly or in the most appropriate category to provide the advice sought by the Customer, the accuracy of any postings on the Site or any transmissions through it by Customers or Advisors.
Customer will not make arrangements outside of the Versed platform to have paid relations or any contact with Advisors contacted through Versed.com without written consent from Versed or its agents.
Customer agrees that any information or content that he or she posts, transmits or receives through Versed.com will not be considered confidential. Customer grants Versed.com an unlimited, irrevocable, royalty-free license to use, reproduce, display, edit, copy, transmit, publicly perform, create derivative works, or communicate to the public any such information and content on a world-wide basis.
Customer consents to Askversed.com collecting and processing any personal information, as per the terms of Versed's Privacy Policy.
All interactions between Customer and Advisor will be billed through Versed regardless of if the interaction is online or offline. Customer agrees to abide by the pricing terms agreed upon with an Advisor while utilizing Versed.com and to pay Versed for all services rendered to Customer by Advisors.
Customer will not take any actions that may undermine, disrupt or manipulate the integrity of the Customer feedback (rating) system on the Site.
Customer will not interfere with or disrupt the Askversed.com servers or networks connected to the Site.
Customer will not attempt to gain unauthorized access to other computer systems or networks connected to the Site.
Customer will not transmit through the site any unlawful, harassing, libelous, privacy invading, abusive, threatening, defamatory, vulgar, obscene, racist, harmful, or otherwise objectionable material of any kind.
Customer will not disobey or breach this Agreement or any other applicable instructions conveyed by Versed.
Customer will not violate any applicable local, state, national or international law, statute, ordinance, rule, regulation or ethical code.
Customer will not upload, post, e-mail, transmit or otherwise make available: (A) any information or material that infringes upon a third party right, especially intellectual property rights; (B) any third party advertisements, including banner exchange services; (C) any software viruses, Trojan horses, worms or any other malicious application; or (D) any information or material which may constitute or encourage conduct that is a criminal offense, civil wrong or which otherwise violates any applicable law.
Versed enables the transfer of files between Customers and Advisors. Opening any such files is at the sole risk of the Customer. It is the Customer's responsibility to scan such files with an anti-virus software application prior to opening them. Versed is not responsible for any the transfer of any computer viruses, malicious software or other damage resulting from opening such files.
Customer will not stalk, threaten or harass Advisors or other Customers or infringe upon or attempt to infringe upon their privacy.

International Users

Versed makes no claim that the content of the Site is appropriate or may be downloaded outside the United States. If you access the Site from a location outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction regarding online conduct and acceptable content.

Modifications and Termination of Askversed.com

Versed reserves the right in its sole discretion, and from time to time, to modify or discontinue, temporarily or permanently, the services in Askversed.com, with or without notice to Customer. Customer agrees that Versed shall not be liable to Customer or any third party for any modification or discontinuance of Askversed.com's services or for any losses or damages that may result to Customer from such discontinuation or interruption of service.

Versed's services depend on various factors such as software, hardware and communications networks of Versed, its contractors and suppliers and factors outside its control. Hence, Versed cannot guarantee that Askversed.com's service will be uninterrupted or that it will be timely, secure or error-free.

Versed may, in its sole discretion and for any reason or no reason, terminate Customer's participation in Askversed.com and refuse any and all current or future use by Customer of Askversed.com.

Indemnification

Customer shall indemnify, defend and hold harmless Versed and its members, managers, employees, representatives, agents and affiliates against any and all losses, damages, suits, judgments, costs and expenses (including litigation costs and attorneys' fees) arising out of or in connection with any claim, suit, action, or other proceeding brought against Versed or such party, to the extent that such a claim, suit, action or other proceeding is based on or arises from: (a) any breach of any representation, warranty, covenant or agreement to be performed by Customer according to this Agreement; (b) Customer's refusal to pay for services provided by any Advisor; or (c) any materials that Customer had posted to Askversed.com or transmitted through it and/or any content on Customer's Web site or otherwise provided by Customer.

No Assignment

Customer shall not assign his or her rights and obligations according to this Agreement, in whole or in part, whether voluntarily or by operation of law, without the prior, written consent of Versed. Any purported assignment by Customer without the appropriate prior written approval will be null and void and of no force or effect.

Modifications to this Agreement

Versed may change this Agreement or any part hereof at any time according to its absolute discretion and without any prior notice. Therefore, Customer is encouraged to check the terms of this Agreement frequently. By using the service or Site after any changes, Customer agrees to be bound by such changes to this Agreement.

Violation

Customer may report any violation of this Agreement to support@askversed.com.

YOU AGREE THAT BY USING THIS SERVICE YOU ARE:

(A) AT LEAST 18 YEARS OF AGE AND YOU ARE LEGALLY ABLE TO ENTER INTO A CONTRACT AND (B) LEGALLY AUTHORIZED TO WORK IN THE COUNTRY FROM WHICH YOU WILL BE OFFERING SERVICES ON VERSED

This Agreement contains all of the terms and conditions between you ("Advisor") and Versed. Your use of Askversed.com as an advisor implies your acceptance of the terms and conditions of this Agreement.

By registering as an Advisor and agreeing to the terms and conditions of this Agreement, you also are agreeing to the terms of Versed's Privacy Policy, which is incorporated into this Agreement.

Definition of Service

Askversed.com provides a platform where an Advisor may present his or her advisorise and sell advice or services to interested users ("Customers") from Askversed.com or its affiliates. Versed makes no representation or warranty whatsoever as to the willingness or ability of Customers to pay for any advice given by the Advisor. However, payment will be gathered in advance of all consultations.

Disclaimer of Warranty and Limitation of Liability

THE ADVISOR ACKNOWLEDGES AND AGREES THAT ASKVERSED.COM IS BEING PROVIDED FOR USE AS IS, AND THEREFORE ADVISOR WILL NOT HAVE ANY PLEA, CLAIM OR DEMAND VIS-A-VIS VERSED IN RESPECT TO ASKVERSED.COM'S CUSTOMER, PROPERTIES, LIMITATIONS OR COMPATIBILITY WITH THE ADVISOR’S NEEDS. THE USE OF ASKVERSED.COM IS ACCORDINGLY BEING MADE AT THE EXPERT'S SOLE AND ENTIRE RISK, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, COMPATIBILITY, SECURITY OR ACCURACY. VERSED EXPRESSLY DISCLAIMS ALL WARRANTIES FOR INFORMATION POSTED OR TRANSMITTED BY ITS CUSTOMERS. IF AN ADVISOR DECIDES TO PROVIDE ADVISOR’S SERVICES THROUGH THE USE OF ASKVERSED.COM, ADVISOR MUST EXERCISE A REASONABLE STANDARD OF CARE, AT LEAST THE SAME AS ADVISOR WOULD IN A SIMILAR TRANSACTION NOT CONDUCTED THROUGH THE INTERNET OR THE STANDARD OF CARE MANDATED BY HIS OR HER PROFESSION, WHICHEVER IS HIGHER. THE ADVISOR SHALL NOT HAVE ANY PLEA, CLAIM OR DEMAND AGAINST VERSED, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, MEMBERS, MANAGERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS IN RESPECT OF ANY SERVICES EXPERT DECIDES TO PROVIDE IN CONNECTION WITH THE USE OF ASKVERSED.COM. VERSED WILL NOT BE DEEMED THE PROVIDER OR RECIPIENT OF ANY SERVICES ACQUIRED THROUGH ASKVERSED.COM. THE SALE OR PURCHASE OF SERVICES IS ACCORDINGLY EFFECTED AT THE ADVISOR’S SOLE AND ENTIRE RISK. UNDER NO CIRCUMSTANCES WILL VERSED, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, MANAGERS, MEMBERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS BE LIABLE TO ANY ADVISOR FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS, REVENUE, PROFITS, USE, DATA OR OTHER ECONOMIC ADVANTAGE), HOWEVER IT ARISES, WHETHER IN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, OR ARISING FROM THE SERVICES OR ANY PROVISION OF THIS AGREEMENT. VERSED, ITS AFFILIATES, THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, MEMBERS, MANAGERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS' AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING WITH RESPECT TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL AMOUNT OF MONEY PAID TO EXPERTS THROUGH ASKVERSED.COM IN THE SIX MONTH PERIOD PRIOR TO THE DATE THE CLAIM AROSE. ADVISOR ACKNOWLEDGES AND AGREES THAT VERSED DISCLAIMS ANY LIABILITY WITH RESPECT TO ANY CLAIM, SUIT OR ACTION BROUGHT BY A CUSTOMER IN CONNECTION WITH THE PROVISION OF ANY SERVICES BY ADVISOR (INCLUDING, WITHOUT LIMITATION, REPRESENTATIONS BY THE ADVISOR AS TO ADVISOR’S QUALIFICATIONS AND ADVICE PROVIDED BY THE ADVISOR) THROUGH THE VERSED SERVICE AND ADVISOR AGREES TO INDEMNIFY AND HOLD VERSED HARMLESS IN CONNECTION WITH ANY SUCH CLAIM AND ANY DAMAGES OR EXPENSES ARISING THEREFROM INCLUDING LEGAL FEES AND COSTS. VERSED WILL NOT BE LIABLE FOR ENFORCING ANY AGREEMENT THAT WAS MADE BETWEEN AN ADVISOR AND A CUSTOMER, INCLUDING EXPERT FEE AGREEMENT. ADVISOR WILL BE SOLELY RESPONSIBLE FOR ANY AGREEMENT MADE WITH A CUSTOMER. EXPERT FURTHER ACKNOWLEDGES THAT ADVISOR WILL SOLELY BE RESPONSIBLE AND LIABLE FOR ANY DAMAGES TO ANY CUSTOMER TO WHOM ADVISOR PROVIDES SERVICES AND WHERE THAT CUSTOMER SUFFERS DAMAGES ARISING FROM OR CONNECTED TO SUCH SERVICES. IN THE EVENT OF A DISPUTE REGARDING ANY TRANSACTION CONDUCTED THROUGH ASKVERSED.COM, ADVISOR HEREBY RELEASES VERSED AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, MEMBERS, MANAGERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS FROM ALL MANNER OF ACTIONS, CLAIMS OR DEMANDS AND FROM ANY AND ALL LOSSES (DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL), DAMAGES, COSTS OR EXPENSES, INCLUDING, WITHOUT LIMITATION, COURT COSTS AND ATTORNEY'S FEES, WHICH ADVISOR MAY HAVE AGAINST ONE OR MORE OF THE ABOVE.

By submitting the Advisor registration form, you the Advisor, represent, warrant and agree to the following:

At all times you the Advisor will provide correct and accurate representation of knowledge, skills, experience, qualifications, background and other information as prompted in any form on Askversed.com, and will maintain and update all such information during the term of this Agreement (or during the course of your use of the site) to keep it true, accurate, current and complete.
You will not misrepresent yourself or create a misleading name or listing.
You consent to the recording of each and every call made in connection with Versed, which recordings shall be the sole property of Versed.
The aforementioned is an ongoing affirmative obligation for the Advisor to maintain and update on a regular basis.

Advisor's Conduct

You the Advisor will be solely and fully liable for all conduct, services, advice, postings and transmissions that are made in your communications through Askversed.com or under your Versed user name and password. You represent, warrant and declare that while you are using Askversed.com as and Advisor, you will act according to the following rules:

Advisor will be solely responsible for the services provided to Customers and for the verification of Customers' identities and other information delivered to you by Customers
As a platform where Advisor can offer services, Versed is not involved in any transactions between Advisor and Customers. Versed does not control the accuracy of any postings on the Site or transmissions through it by Customers. In addition, Versed cannot and will not make any effort to verify the identity of any of its Customers
Advisor will not mislead Customers to believe that he or she can provide a service which is outside Advisor's fields of advisorise
All interactions between Advisor and Customer will be billed through Versed regardless if the interaction is online or offline. Advisor agrees to abide by the pricing terms agreed upon with Customers while utilizing Askversed.com.
All contact between Advisors, customers and any other users who are introduced through the Versed platform must be conducted only through the Versed platform. Exchange of personal contact information is strictly prohibited. Any exchange of contact information or communication outside of the Versed platform, whether via personal email, phone, in person or any other means, is strictly prohibited and is a violation of this Agreement. In the event Versed suspects or determines any such unauthorized contact, Versed reserves the right to withhold payments, levy fines, and/or suspend or terminate service in its sole and absolute discretion.
Advisor will not take any actions which may undermine, disrupt or manipulate the integrity of the Customer feedback (rating) system on the Site.
Advisor will not interfere with or disrupt the Askversed.com site or servers or networks connected to the Site.
Advisor will not attempt to gain unauthorized access to other computer systems or networks connected to the Site, and will not transmit "junk mail", or any unsolicited mass distribution of e-mail or bulletin board postings.
Advisor will not transmit through the site any unlawful, harassing, libelous, privacy invading, abusive, threatening, defamatory, vulgar, obscene, racist, harmful or otherwise objectionable material of any kind.
Advisor will not disobey or breach this Agreement or any other applicable instructions conveyed by Versed or its officers.
Advisor will not violate any applicable local, state, national or international law, statute, ordinance, rule, regulation or ethical code.
Advisor will not participate in Versed in any manner that is in violation of the rules, regulations or code of conduct of his or her current employer(s), including not divulging any restricted, confidential or otherwise proprietary information of any sort.
Advisor will not upload, post, e-mail, transmit or otherwise make available: (a) any information or material that infringes a third party right, especially copyright or other intellectual property rights; (b) any third party advertisements, including banner exchange services; (c) software viruses, Trojan horses, worms or any other malicious application; or (d) any information or material which may constitute or encourage conduct that is a criminal offense or civil wrong or otherwise violates any applicable law.
Advisor will not impersonate any person or entity, or make any false statement regarding Advisor's employment, agency or affiliation with any person or entity.
Advisor will not stalk, threaten or harass Customers or other Advisors or invade or attempt to invade their privacy.
Advisor will not disclose any information that was provided to Advisor by a Customer and will use his or her best efforts to guard Customer's privacy
Advisor agrees to comply with all applicable laws regarding use of this Site. Advisor may not use this Site to solicit the performance of any illegal activity or other activity which infringes the rights of Versed or others. Advisor agrees not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any other person's use of the Site. Advisor may not attempt to gain unauthorized access to any portion or feature of the Site by hacking, password "mining" or other illegitimate method of gaining access to restricted data.
Versed may review the Advisor's personal profile and amend any typing or spelling errors. Versed may, in its absolute discretion, remove or refuse to post or transmit in part or full any content uploaded by the Advisor. In such case, Versed may, but is under no obligation to, notify Advisor of such removal or removal or refusal. Without limiting the foregoing, Versed may remove any content violating this Agreement. The Advisor will bear all the risks associated with uploading and transmitting material utilizing Versed.com, including reliance on its accuracy, reliability or legality.

Advisor and Customer Communication

The main purpose of Versed is to provide a platform for registered Advisors to provide Customers with advice that they seek. By utilizing Askversed.com, Advisors and Customers can negotiate and enter into a contract for advice. Versed does not screen or edit the content of communications between Advisors and Customers, but Versed may screen, copy, transmit and review all communications conducted by or through Versed.com for technical support and/or in order to uphold the terms of this Agreement.

International Users

Modifications and Termination of Askversed.com

Versed reserves the right in its sole discretion, and from time to time, to modify or discontinue, temporarily or permanently, the services in Askversed.com, with or without notice to Advisor. Advisor agrees that Versed shall not be liable to Advisor or any third party for any modification or discontinuance to Askversed.com's services, or for any losses or damages that may result to Advisor or his or her Customers from such discontinuation or interruption of service.

Versed's services depend upon different factors such as: software, hardware and communications networks of Versed, its contractors and suppliers, and other factors outside its control. Hence, Versed cannot guarantee that Versed.com will not be interrupted, or that it will be timely, secure or error-free.

Versed, in its sole discretion and for any or no reason, may terminate Advisor's participation in Versed.com and refuse any and all current or future use by Advisor of Askversed.com.

Termination of Account by Advisor

Advisor may terminate their Agreement with Versed at any time by sending an email to support@askversed.com. Versed shall invalidate Advisor's user name and password within thirty (30) days of receiving such notice. Advisor may inactivate his or her own account for any desired period of time from within their Versed account. Notwithstanding termination, all obligations of Advisor under this Agreement relating to any activity prior to the termination date shall remain in full force and effect.

Copyright Policy

Versed respects the intellectual property of others, and we ask our users to do the same. Versed may, in appropriate circumstances and at its discretion, terminate the account or access of users who infringe the intellectual property rights of others.

Limited License

Versed grants Advisor a nonexclusive, revocable right to use the Site provided that Advisor does not copy, modify, create a derivative work of, reverse engineer, disassemble or otherwise attempt to discover any source code, or breach this Agreement.

Indemnification

Advisor will indemnify, defend and hold harmless Versed, and its members, managers, employees, representatives, agents and Affiliates against any and all losses, damages, suits, judgments, costs and expenses (including litigation costs and attorneys' fees) arising out of or in connection with any claim, suit, action, or other proceeding brought against Versed or such party, to the extent that such claim, suit, action or other proceeding is based on or arises from: (a) any breach of any representation, warranty, covenant or agreement to be performed by Advisor according to this Agreement; (b) Advisor's provision of services to any third party, regardless of whether or not they are Customers of the Versed service; or (c) any materials that Advisor has posted to Askversed.com and/or any content on Advisor's Web site or otherwise provided to Customers. Advisor represents and warrants that it maintains and will continue to maintain adequate insurance if such insurance is required by any applicable laws or regulations which apply to the provision of services by Advisor, including, without limitation, professional liability insurance applicable to the legal and medical professions.

Text Message (SMS) Terms of Use

Your wireless carrier's standard messaging rates apply to all text messages sent or received. Versed does not charge for any content; however, downloadable content may incur additional charges from your wireless carrier. Please contact your wireless carrier for information about your messaging plan. Your carrier may impose message or charge limitations on your account that are outside of our control. All charges are billed by and payable to your wireless carrier.

By subscribing, you consent to receiving text messages from Versed. You can unsubscribe at any time from all services by replying with the word STOP to any text message.

You represent that you are the owner, or authorized user of the wireless device you use to subscribe to the service, and that you are authorized to approve the applicable charges.

We will not be liable for any delays or failures in your receipt of any SMS messages as delivery is subject to effective transmission from your network operator and processing by your mobile device. SMS message services are provided on an AS IS, AS AVAILABLE basis.

Data obtained from you in connection with this SMS service may include your mobile phone number, your carrier's name, and the date, time and content of your messages and other information that you may provide. We may use this information to contact you and to provide the services you request from us, and to otherwise operate, develop and improve the service. Your wireless carrier and other service providers may also collect data from your SMS usage, and their practices are governed by their own policies. We will only use the information you provide to the service to transmit your text message or as otherwise described in this document. Nonetheless, we reserve the right at all times to disclose any information as necessary to satisfy any law, regulation or governmental request, to avoid liability, or to protect our rights or property. When you complete forms online or otherwise provide us information in connection with the service, you agree to provide accurate, complete, and true information.

The service as well as the content and materials received through the service are proprietary to us and our licensors, and is for your personal, non-commercial use only. You shall not damage, impair, interfere with or disrupt the service or its functionality.

We reserve the right to alter charges and/or these terms and conditions from time to time. We may suspend or terminate the service to you if we believe you are in breach of our terms and conditions. Your service is also subject to termination in the event your wireless service terminates or lapses. We may discontinue the service at any time.

No Assignment

Advisor shall not assign his or her rights and obligations according to this Agreement, in whole or in part, whether voluntarily or by operation of law, without the prior, written consent of Versed. Any purported assignment by Advisor without the appropriate prior written approval will be null and void and of no force or effect.

Modifications to this Agreement

Versed may change this Agreement without prior notice by posting modifications on the Site. Unless otherwise specified by Versed, all modifications shall be effective upon posting. Therefore, Advisor is encouraged to check the terms of this Agreement frequently. By using the service or Site after the changes become effective, Advisor agrees to be bound by such changes to the Agreement. If Advisor does not agree to the changes, Advisor may terminate access to the Site and participation in Versed services by following the procedures set forth above.

Violation

The Advisor may report any violation of this Agreement to support@askversed.com.
